TERMS OF SERVICE

The following Terms of Service (“Terms”) between you (“you” or “your”) and FLYING SOLO NYC inc. (“we,” “our,” “us,” or “FS”) describes the terms and conditions on which you may access and use the FS website located at flyingsolo-designer.com (the “Site”), the FS mobile app (the “App”) and related services including FS’s product PR services (together with the Site, the App, as defined below, the “Services”). By accessing or using any of the Services, you acknowledge that you have read, understood and agreed to be bound by these Terms.


PLEASE READ THESE TERMS CAREFULLY. BY CLICKING “I AGREE” OR OTHERWISE ACCESSING OR USING ANY PART OF THE SERVICES, YOU AGREE TO THESE TERMS.


1. ABOUT THE SERVICES

A. Introduction

Through the Services, we aim to give your brand exposure to our network of stylist and editors resulting in magazine editorial and cover features


B. Eligibility

Designers under the age of 18 may not use the Services. If you are a parent or legal guardian agreeing to these Terms for the benefit of a person under the age of 18, you are fully responsible for his or her use of the Services and the rental or purchase of any Products, including all legal liability he or she may incur.

C. Modification of the Services or the Terms

FS may modify these Terms or modify, suspend, or discontinue the Services at any time for any reason. However, FS will use commercially reasonable efforts to notify you of material changes to these Terms by posting a notice on the Site and/or sending an email to the email address you provided to FS upon registration.


2. GENERAL

1. Press

Designer understands and authorizes Flying Solo to place Designer's brand in editorials, publications, online and offline campaigns, social media and all relevant exposures etc. Designer authorizes Flying Solo to represent Designer's brand to all forms of media, press and industry individuals. Flying Solo will make available to Designer all collaboration and business opportunities presented to Flying Solo on behalf of Designer. Flying Solo will take care to present Designer's brand in the best light possible, taking into account the Designer's preferances.

2. Confidentiality

Each party expressly undertakes to retain in confidence all information and know-how transmitted to it by the other party that the disclosing party has designated as proprietary and/or confidential or that, by the nature of the circumstances surrounding the disclosure, ought in good faith to be treated as proprietary and/or confidential, and will make no use of such information and know-how except under the terms, for the purposes of and during the existence of this Agreement. Each party's obligation under this Agreement with respect to any particular information shall extend to the earlier of such time as such information is publicly available through no fault of the receiving party or five (5) years following termination of the Agreement, and the obligation will not extend whatsoever to information which is generally or publicly known, or that was developed independently by the receiving party, or was conveyed to the receiving party by a third party source at no fault of the receiving party.

3. Limitation of Liability.

FLYING SOLO shall not be responsible for any loss of or damage to property of Designer, its employees, agents, contractors or assigns nor for any personal injury to Designer's officers, directors, employees, agents, contractors and/or invitees except to the extent any such claims may be directly and solely attributable to the gross negligence or willful misconduct of FLYING SOLO, its directors, officers, and/or employees.

4. Designer Brand Trademarks/Designer Brand Materials.

Subject to the terms and conditions of this Agreement, Designer grants to FLYING SOLO the right to use Designer's trademarks, trade names, and logo designs and company descriptions as prepared and delivered to FLYING SOLO by Designer (“Designer Brand Materials”), in any medium of advertising, marketing materials, and/or promotional goods distributed solely in conjunction with the Event and in accordance with Designer's trademark usage guidelines.

5. Insurance

FLYING SOLO shall take out and maintain insurance with a reputable insurance company or companies (subject to any exclusions, conditions, excesses and limitations) insurance of the Product(s) and Stock within the Premises to the value of its manufactured value against damage

6. Indemnification.

The designer agrees that Flying Solo NYC is not liable for any loss, damage caused or suffered by Designer, as a result of entering into Flying Solo's Showroom. The designer also waives all rights to take any legal actions against Flying Solo NYC for such losses. The designer agrees to be bound by any terms or conditions as set on in this contract. Any legal dispute will be settled by a court of law in the State of New York

3. SPECIAL TRIAL PROGRAMS

Please note that special trial programs such as this one is offered on an individual basis and can not be shared/forwarded to 3rd parties.

FS reserves the right to add, remove or modify trial program benefits at any time, but we will use reasonable efforts to notify you of any material changes. In the event of any such material change, you may cancel your subscription immediately upon notice to us, and we will give you a prorated refund for the remainder of your current subscription period

4.TERMINATION

A. Termination By You

You may deactivate your account and discontinue your use of the Services at any time after the trial period giving FS no less than 30 day cancellation notice.

  1. If you wish NOT to continue FS membership after a trial month, just notify us no later than 3 business days prior to the end of the month.  In order to deactivate your account, please contact us at robert@flyingsolo.nyc.

  2. If at any point you wish to cancel your membership after a trial month, you have to give FS a 30 day cancellation notice

B. Termination By FS

Any violation of these Terms, including any of the prohibitions, may result in suspension or termination of your access to the Services and/or removal of Your Collection from The Copper Room. FS may also terminate your account if FS determines that your conduct poses a risk or liability to FS, or for any other reason as determined by FS in its sole discretion.
